As per SEC Directive No.SEC/SRMIC/94-231/212 dated July 09, 2009, trading of the shares of the following securities shall remain halted effective from July 12, 2009, until further order, namely:-

PRIME FINANCE (2009-07-09)

The company has informed that the Board of Directors of the company has taken the following decisions:

1. (a) The proposal for change in the denomination of the face value of shares the company from Tk. 100 to Tk. 10 each subject to approval of SEC, Bangladesh Bank and shareholders in the General Meeting.

(b) The market lot shall be 50 shares of Tk. 10 each subject to approval of SEC.

2. Accordingly, the following amendments will be made in the Memorandum and Articles of Association of the company:

a) Change in the clause V of the Memorandum of Association: The authorized share capital of the company is Taka 100,00,00,000 divided into 10,00,00,000 shares of Taka 10 each with the rights and privileges and conditions attached thereto as are provided by the Articles of Association of the company for the time being with power to increase and reduce the capital of the company in accordance with the Articles of Association of the company and law for the time being in force.

b) Change in the Article 3(a) of the Articles of Association: The Authorized share capital of the company is Tk. 100,00,00,000 divided into 10,00,00,000 ordinary shares of Tk. 10 each.

3. The date of shareholders meeting for taking special resolution for necessary amendments in the Memorandum and Articles of Associations of the company will be notified after obtaining consent from the SEC and Bangladesh Bank in this regard. B. Investment in the share capital of the PFI Properties Ltd.: The Board has decided to subscribe in the shares of PFI Properties Ltd., as Sponsor Shareholders to the tune of Tk. 20 million equivalent to 40 percent of the total paid up share capital of PFI Properties Ltd., a Public Limited company formed with the main objective to operate business in the Real Estate Sector.
